2. DEFINITIONS AND INTERPRETATIONS
2.1 In these terms and conditions:
Reference to “we”, “our” and “us” is a reference to Cheshire Fragrances Limited.
Reference to “you” or “your” is a reference to the purchaser of the Products from our website.
“Contract” means the contract between us for the sale and purchase of the Products which incorporates these Terms and Conditions.
“Products” means the Perfumes. Fragrance samples and other cosmetic items sold through our website.
“Terms” means these Terms and Conditions of Sale.
2.2.These Terms are the only terms and conditions on which we contract for the sale of Products and they form an integral part of the Contract between us. If we agree to vary any of the terms, the variation must be in writing confirmed by our duly authorised representative and by you.
3. PRICE
3.1 The price of Products quoted on our website includes VAT (Value Added Tax). Where VAT is not included in the price, it will be added and payable by you at the appropriate rate. We will pass on changes in the rate of VAT. If the rate of VAT changes between your order date and the date we supply the product, we will adjust the rate of VAT that you pay, unless you have already paid for the product in full before the change in the rate of VAT takes effect
3.2 The cost of packaging and postage/carriage is shown separately and (in the case of special or overseas orders) will be quoted by us on request and payable separately from the price of the Products.
3.3 All published prices are subject to change at any time without notice but changes will not affect orders in respect of which we have already sent you an Order Confirmation.
3.4 What happens if we got the price wrong. It is always possible that, despite our best efforts, some of the products we sell may be incorrectly priced. We will normally check prices before accepting your order so that, where the product's correct price at your order date is less than our stated price at your order date, we will charge the lower amount. If the product's correct price at your order date is higher than the price stated to you, we will contact you for your instructions before we accept your order. If we accept and process your order where a pricing error is obvious and unmistakeable and could reasonably have been recognised by you as a mispricing, we may end the contract, refund you any sums you have paid and require the return of any products provided to you.
3.5 We cannot complete your order until you have paid for it in full. Payment can be made by most major credit or debit cards, by completing the relevant details on the “Delivery Details” section.
3.6 In the event of a pricing or typographical error on the website, we reserve the right to cancel or refuse any order placed for an incorrectly priced Product, even if payment has already been received. Any such payment will be refunded in full.
3.7 Our Site contains several Products and it is always possible that, despite our best efforts, some of the Products listed on our Site may be incorrectly priced. We will rectify any such errors as soon as possible once we become aware of them. If a Product’s correct price is different from the price stated on our Site, we will normally, at our discretion, either contact you for instructions before dispatching the Product, or reject your order and notify you of such rejection.
3.8 How can you view our products? The full range of our products can be viewed here. Products and packaging may vary slightly from their pictures. The images of the products on our website are for illustrative purposes only. Although we have made every effort to display the colours accurately, we cannot guarantee that your device's display of the colours accurately reflects the colour of the products. Products may vary slightly from those images.
4. ORDERING PRODUCTS ONLINE AND CONTRACT FORMATION
4.1 By placing an order, you confirm that all information you provide is accurate and that you are at least 18 years old. You confirm to us this information relates to you/the person placing the order and not to any third party.
4.2.When an order is made online, the order confirmation issued by the company clearing the credit/debit card payment does not constitute acceptance of your order by us. We reserve the right to check any discrepancies your order constitutes an offer to purchase the Products. The Contract between you and us will only be formed when we send you a written Order Confirmation email confirming dispatch of your Products.
4.3 Any error in any ordering process due to technical or other reasons beyond our control entitles us not to treat the order as being binding on us.
4.4 We may choose not to accept your order for any reason and we will not be liable to you or to anyone else in those circumstances.
4.5 We may be unable to process your order if:
4.5.1 the Product you ordered is out of stock or discontinued; or
4.5.2 there is a problem with authorisation of the payment on your credit card.
4.6 We only sell our products to customers based in the UK. Our website is solely for the promotion and sale of our products in the UK. Unfortunately, we do not accept orders from addresses outside the UK.
4.7 By using a credit/debit card to pay for your order, you confirm that the card being used is yours. All credit/debit card holders are subject to validation checks and authorisation by the card issuer. If the issuer of your card refuses to authorise payment we will not accept your order and we will not be liable for any delay or non-delivery and we are not obliged to inform you of the reason for the refusal. We are not responsible for your card issuer or bank charging you as a result of our processing of your credit/debit card payment in accordance with your order.
4.8 We reserve the right to refuse or cancel any order that we reasonably believe may be intended for commercial resale.
4.9 Complimentary samples and those for sale
4.9.1. Offer valid exclusively online
4.9.2 Offer is not available on orders that only contain samples or sample gift sets.
4.9.3 Offer only valid while stock lasts.
4.9.4 Cheshire Fragrances Limited reserve the right to withdraw, delay, interrupt, or postpone the promotion or to modify all or part of the modalities of the present rules without incurring any liability without any prior notice.
4.9.5.Offer is non-transferable, non-exchangeable and not valid on previous purchases.
4.9.6.Items purchased are for personal non-commercial use and cannot be resold or commercialised in any way.
4.9.7.Cheshire Fragrances Limited will only accept returns of the products complete with the accompanying complimentary sample.
4.9.8.Samples whether complimentary or for sale cannot be exchanged for a cash alternative.
5. PRIVACY
If you place an order, you will have to provide personal information to us. We will not disclose that information to any third party without your consent, except for the purpose of processing the order and arranging delivery. 6. PAYMENT
6.1 All payment for Products and for the cost of packaging and delivery must be made before the Products are delivered.
6.2 Payment online will be made by credit card, debit card or via PayPal. We all accept all major credit and debt cards including Via, Mastercard and American Express. At our discretion, we may accept payment by cheque or other means. In all cases, delivery will not occur until we are satisfied that the payment has been made. In the case of a payment by cheque, this will be after the cheque has been cleared.
7. DELIVERY
7.1 We deliver products within the United Kingdom only at present.
7.2 We will give you an estimated delivery date for the Products. No times or dates provided by us are guaranteed but, unless otherwise agreed, we will deliver Products within 30 days from the date we confirm acceptance of your order.
7.3 Delivery will be made to the address specified in your order.
7.4 We will arrange for packing and we will decide on the method of delivery either by post, courier or otherwise, which will also be based on your preference(s) when placing the order.
7.5 You must notify us promptly and in any event within 48 hours or receipt of any Products if they appear to be damaged in transit. In those circumstances, you must also retain all packaging for inspection as this may be required when making a claim.
7.6 We are not responsible for delivery delays caused by events outside our reasonable control (including postal or courier disruptions).
8. CANCELLATION AND REFUND
8.1 You have the right to cancel this contract within 28 days without giving any reason. The cancellation period will expire after 28 days from the day you receive the Products (or a third party indicated by you receives them). In the case of multiple deliveries under a single order, the cancellation period runs from receipt of the last delivery.

8.3 You must communicate your decision to cancel the Contract to us before the cancellation period has expired.
8.4 You must take reasonable care of all Products in your possession and return them to us, at your expense, appropriately packaged to avoid damage, within 28 days following the cancellation date. Where you decide to cancel an order after we have dispatched the Products, you will be under a duty to return them to us, at your own risk. Please note any promotional gifts must also be returned to us, if they are not then the refund will be less the sum of the RRP of the promotional gift. Until such time as they are returned, you must retain possession of the Products and take reasonable care of them. You should return the Products to us unused and in the same condition in which you received them together with the original sealed Product packaging.
8.4.1 Hygiene Exemption: For hygiene and health protection reasons, we cannot accept returns of perfume or cosmetic items that have been unsealed after delivery, unless they are faulty. This does not affect your statutory rights.
8.5 If you cancel this Contract, we will refund all payments received from you. This will include the reasonable cost of delivery, if you paid for this. We may make a deduction from the refund for loss in value of any Products supplied, if the loss is the result of unnecessary handling by you.
8.6 We will make the refund without undue delay, and not later than (a) 30 days after the day we receive back from you the Products supplied, or (b) (if earlier) 30 days after the day you provide evidence that you have returned the Products, or (c) if there were no Products supplied, 30 days after the day on which we are informed about your decision to cancel this contract.
8.7 We will make the refund using the same means of payment as you used for the initial transaction, unless you have expressly agreed otherwise; in any event, you will not incur any fees as a result of the refund
8.8 In the case of Products which are made and supplied to your specification or which have been personalised for you, you will not have the right to cancel the Contract.
8.9 Our policy on cancellations, returns and refunds does not affect your statutory legal rights.
8.9.1 We do not sell perfume to be resold or divided and then subsequently resold. Should we believe that this may occur, we will decline your order and refund any monies paid. There shall be no further liability on us.
How we will refund you. If you are entitled to a refund under these terms we will refund you the price you paid for the products including delivery costs. If appropriate, by the method you used for payment. However, we may make deductions from the price, as described below.
When we may make deductions from refunds If you are a consumer exercising your right to change your mind. If you are exercising your right to change your mind:
We may reduce your refund of the price (excluding delivery costs) to reflect any reduction in the value of the products if this has been caused by your handling them in a way which would not be permitted in a shop.

If we have not offered to collect the product, your refund will be made within 14 days from the day on which we receive the product back from you or, if earlier, the day on which you provide us with evidence that you have sent the product back to us. Your rights in respect of defective products if you are a consumer If you are a consumer, by law, we must provide products that are of satisfactory quality, fit for purpose, as described at the time of purchase, in accordance with any pre-contract information we have provided.
Our liability.
- We do not exclude or limit in any way our liability to you where it would be unlawful to do so.
- Nothing in these terms and conditions seeks to limit or exclude our liability for death or personal injury caused by our negligence (including that of our employees, agents or sub-contractors); or for fraud or fraudulent misrepresentation.
- Nothing in these terms and conditions seeks to exclude or limit your legal rights as a consumer.
We are not liable for business losses. If you are a consumer, we only supply the products to you for domestic and private use. If you use the products for any commercial, business or re-sale purpose our liability to you will be limited as set out above.
9. RISK AND OWNERSHIP
9.1 The risk of loss or damage to Products passes to you when you actually receive the Products (or when they are received by some third party that you identified to take possession of the Products). If you have agreed to arrange collection collect the Products from us, the risk in those Products passes to you on collection by you or your carrier.
9.2 Ownership in all Products remains with us until full payment of all amounts due to us has been received from you.
10. WARRANTIES AND LIABILITY
10.1 We take great care to ensure our Products meet the highest standards of quality and we warrant to you that the Products ordered by you will meet the description as shown on our website (or any other description given to you in writing).
10.2 We are responsible for loss or damage you suffer that is a foreseeable result of our breach of this Contract or our negligence.
10.3 We will not have any responsibility for any damage which occurs to the Products after you receive them.
10.3 If any defect in any Products appear within 30 days of delivery, you must notify us as soon as you become aware of the defect, giving us full details. If a Product is faulty, please contact us at
10.4 We will not accept any responsibility for any wear and tear, accidental damage or failure by you or by any third party to adhere to any written recommendation provided in relation to the Products.
10.5 Nothing in these Terms shall limit or exclude our liability for:
- death or personal injury caused by our negligence;
- fraud or fraudulent misrepresentation; or
- any other matter which cannot be excluded by law.
11. INTELLECTUAL PROPERTY
All trademarks, brand names, logos, photographs, designs and content displayed on this website are the property of Cheshire Fragrances Limited or its licensors. You must not reproduce, copy, distribute, or use any of these materials without prior written permission.
12. EVENTS BEYOND OR REASONABLE CONTROL
We will not have any liability to you if we are prevented from performing any of our obligations on account of any circumstances beyond our reasonable control including, but not limited to, fire, flood, act of nature, terrorism, war, internet disruption, power failure, strike or difficulty in obtaining materials and/or labour.

If you:
- give us any incorrect personal information, or
- fail to make any payment when it is due, or
- cancel any payment, or
- become insolvent, or
- commit any breach of these Terms
Then, in any of those events, we have the right to cancel the Contract and recover possession of any Products which have been supplied for which payment has not been received in full.
15. GENERAL
15.1 Severance: If any provision in these Terms is held by a court to be unenforceable, that will not affect the remaining provisions of the Terms.
15.2 Entire Agreement: These Terms govern our relationship with you and in accepting them, you confirm that no other arrangement, agreement or representation applies.
15.3 Assignment: We reserve the right to assign any of our rights or obligations under the Contract to a third party on the basis that the existing contractual terms will become the responsibility of that third party. You will not be able to assign any of your rights or obligations without first getting our written consent.
15.4 If any of these Terms & Conditions are declared invalid, unlawful or unenforceable, then that provision shall be deemed to be deleted from these Terms & Conditions and the remaining provisions shall remain in full force and effect.
15.5 We have the right to revise and amend these Terms & Conditions from time to time without prior notice by changing them on the Site, provided that any such change will not affect any purchases you have made before the change is implemented.
15.6 Failure by us to enforce a right does not result in waiver of such right. You may not assign or transfer your rights under these Terms & Conditions.
16. DISPUTE RESOLUTION
